COMPLETION OF SUBSCRIPTION OF NEW SHARES UNDER GENERAL MANDATE

The Board is pleased to announce that all the conditions of the Subscription Agreement have been fulfilled and completion of the Subscriptions took place on 9 December 2019, whereby 20,000,000 Shares were allotted and issued to the Subscriber by the Company at the Subscription Price of HK$0.25 per Subscription Share.

Reference is made to the announcement (the ‘‘Announcement’’) of the Company dated 22 November 2019 in relation to the subscription of 20,000,000 Shares by the Subscriber pursuant to the Subscription Agreement. Capitalised terms used in this announcement shall have the same meanings as those defined in the Announcement unless otherwise defined herein.

COMPLETION OF THE SUBSCRIPTION

The Board is pleased to announce that all the conditions of the Subscription Agreement have been fulfilled and completion of the Subscription took place on 9 December 2019, whereby 20,000,000 Shares were allotted and issued to the Subscriber by the Company at the Subscription Price of HK$0.25 per Subscription Share. To the best of the Directors’ knowledge, information and belief, having made all reasonable enquiries, the Subscriber is an Independent Third Party.

EFFECT ON SHAREHOLDING STRUCTURE OF THE COMPANY

The 20,000,000 Subscription Shares allotted and issued pursuant to the Subscription Agreement represent (i) 5% of the total number of the issued Shares of the Company immediately before the completion of the Subscription; and (ii) approximately 4.76% of the total number of the issued Shares of the Company as enlarged by the allotment and issue of the Subscription Shares immediately after completion of the Subscription.

Set out below is the shareholding structure of the Company (i) immediately before completion of the Subscription; and (ii) immediately after completion of the Subscription:
