ΘΕΜΑ: Agreement for Potential Acquisition of Stake in "ΒΕΡΓΙΝΑ ΚΥΠΡΟΣ TV ΛΤΔ"

GlobalWealth Group PLC (hereinafter "GWG"), following its strategy to expand its investment portfolio, announces that it has signed an agreement (hereinafter the "Agreement") with the company ΒΕΡΓΙΝΑ ΚΥΠΡΟΣ TV ΛΤΔ (hereinafter "Vergina") and its shareholders.

Key Terms of the Transaction:

• Financing: GWG will immediately provide Vergina with short-term financing in the form of a convertible loan to cover working capital needs.
• Call Option: Under the Agreement, GWG is granted the exclusive right to acquire a stake in the issued share capital of Vergina.
• Exercise Period: The call option may be exercised within an agreed time period.
• Price and Conversion: Should the option be exercised, the total price will be covered through a combination of cash and the issuance of new GWG shares. Additionally, GWG maintains the right to convert the loan amount into shares of Vergina.
• Conditions for Completion (Due Diligence): The completion of the acquisition is subject to the fulfillment of standard conditions. Key requirements include the conduct of thorough legal and financial due diligence to fully clarify the current financial position and verify any existing debts or liabilities of the company and the obtainment of the necessary approvals from the Cyprus Radio and Television Authority.

The Company will update the investing public on any material developments regarding the exercise of the call option.
