FATO RELEVANTE

VITRU EDUCAÇÃO S.A. ("Companhia"), em continuidade ao Fato Relevante divulgado em 4 de fevereiro de 2026, informa a seus acionistas e ao mercado em geral o fim do processo de transição da posição de Diretor Presidente (CEO) ("Período de Transição") e o início do mandato do Sr. José Aroldo Alves Jr. como CEO, a partir desta data.

As mudanças propostas integram o plano de sucessão, conforme divulgado anteriormente pela Companhia, com o objetivo de garantir uma condução estruturada e a continuidade do plano estratégico da Vitru, fortalecendo seus pilares de governança e criação de valor sustentável para os acionistas, colaboradores e alunos.

Neste contexto, a Companhia recebeu, na data de hoje, carta de renúncia do Sr. William Matos ao cargo de CEO. O Conselho de Administração registrou seus agradecimentos pela dedicação e pelas relevantes contribuições, sobretudo seu papel central na combinação de negócios entre Vitru e UniCesumar, em 2021, e na consolidação da Vitru, fortalecendo seus pilares acadêmicos, expandindo o modelo digital, liderando a integração cultural entre as operações, capturando sinergias relevantes e conduzindo marcos estratégicos importantes.

Assim, o Conselho de Administração aprovou, nesta data, a eleição do Sr. José Aroldo Alves Jr. ao cargo de CEO da Vitru.

A Companhia entende que a conclusão deste plano de sucessão é mais um importante passo para o fortalecimento de sua governança e a perenidade dos seus negócios.

MATERIAL FACT

VITRU EDUCAÇÃO S.A. (“the Company”), following up on the Material Fact disclosed on February 4, 2026, hereby informs its shareholders and the market in general of the completion of the transition process for the position of Chief Executive Officer (CEO) (“Transition Period”) and the commencement of Mr. José Aroldo Alves Jr.’s term as CEO, effective as of this date.

The proposed changes are part of the Succession Plan, as previously announced by the Company, with the aim of ensuring a structured transition and the continuity of Vitru’s strategic plan, while strengthening its pillars of governance and the creation of sustainable value for shareholders, employees, and students.

In this context, the Company received a letter of resignation today from Mr. William Matos, stepping down from his position as CEO. The Board of Directors expressed its gratitude for his dedication and significant contributions, particularly his central role in the business combination between Vitru and UniCesumar in 2021, and in the consolidation of Vitru, strengthening its academic foundations, expanding the digital model, leading cultural integration across operations, capturing significant synergies, and driving important strategic milestones. Accordingly, the Board of Directors approved today the appointment of Mr. José Aroldo Alves Jr. as CEO of Vitru.

The Company believes that the completion of this Succession Plan is another important step toward strengthening its governance and ensuring the long-term sustainability of its business.
