Vitec Software Group Bulletin from AGM 2016

AGM of Vitec Software Group AB (publ) was held on 11 May 2016 in Umeå.

Dividend

The proposed dividend of SEK 0,90 per share was adopted. The record date for the dividend is Friday, May 13, 2016. Payment from Euroclear Sweden AB is expected Wednesday, May 18th, 2016.

Adoption of income statement and balance sheet

The AGM adopted the income statement and balance sheet for the Parent Company and the consolidated income statement and consolidated balance sheet for 2015.

Discharge

Board members and the President were discharged from liability for the financial year 2015.

Board of Directors

In accordance with the Nomination Committee's proposal was re-elected as Chairman Crister Stjernfelt. Anna Valtonen, Birgitta Johansson-Hedberg, Jan Friedman and Kaj Sandart re-elected as directors.

Directors' fees

The Meeting decided, in accordance with the Nomination Committee's proposal for an annual fee to the Chairman of SEK 250,000 (previously SEK 230,000) and the other board members of the Board of SEK 125,000 each (previously SEK 115,000 each).

Auditor

The meeting decided to appoint PricewaterhouseCoopers AB, with Niklas Renström as responsible auditor, until the end of the AGM 2017.

Guidelines for remuneration to senior executives

In accordance with the Board's proposal the AGM approved the guidelines for remuneration to senior executives. Senior executives refer to the CEO and other members of management.
