BRIEF DETAILS

ARTICLE OF ASSOCIATION:

 Adoption of new set of Articles of Association of the Company

The Articles of Association (AOA) of the Company was based on the provisions of the Companies Act, 1956. In order to bring the AOA of the Company in line with the provisions of the Companies Act, 2013 (Act), the Company adopted a comprehensive new set of AOA which is based on the Schedule I-Table F under that Act.

MEMORANDUM AND ASSOCIATION:

 Alteration in Objects Clause of the Memorandum of Association

The following modifications were approved.

• A. The heading of Clause III (A) of the existing Object Clause are substituted by new heading.

• B. The Clause III (A) of the existing Object Clause altered by inserting the new clause after sub clause-3 i.e. :

• “To act as stock broker for hedging own position by purchase and sale of Cotton Yarn and other ancillary commodities.”

• C. The heading Clause III (B) of existing Object Clause substituted by new heading.

• D. The existing Clause III (B) of existing Object Clause which comprised sub-clause 1-33 substituted by new sub clauses 1-40 which are necessary for furtherance of the Objects specified in clause III (A).

• E. The existing Clause III (C) which comprised sub- clause 34-64 be deleted entirely and consequently there is no other objects.

 Alteration in Liability Clause of the Memorandum of Association

The existing liability Clause was substituted by new clause as required under Companies Act, 2013 i.e.

“The Liability of members is limited and this liability is limited to the amount unpaid, if any, on the shares held by them.”
