Notice Given Under Section 708A(5)(e) of the Corporations Act

This notice is given by VHM Limited (ASX:VHM) (Company) to the ASX for the purpose of Section 708A(5)(e) of the Corporations Act 2001 (the 'Act'), that on 1 August 2024 it issued and allotted 4,285,715 fully paid ordinary shares at $0.42 per share (Shares) to Institutional and Sophisticated Investors without disclosure under Part 6D.2 of the Act.

The Shares above are part of a class of securities quoted on ASX and may be subject to a subsequent offer for sale. The Company notifies ASX under paragraph 708A(5)(e) of the Act that:

1. The Company issued the above Shares without disclosure to the relevant parties under Part 6D.2 of the Act.

2. As at the date of this notice the Company has complied with:

3. (a) the provisions of Chapter 2M of the Act (as applicable to the Company); and

4. (b) Sections 674 and 674A of the Act.

5. As at the date of this notice there is no excluded information (as defined in Sections 708A(7) and (8) of the Act) that is required to be disclosed by the Company.
