Capital increase by a nominal value of DKK 5,049,337 completed
With the final closing today of the transaction between Vestas Wind Systems A/S (Vestas), and Mitsubishi Heavy Industries, Ltd. (MHI), ref. Company Announcements Nos. 33/2020 of 29 October 2020 and 42/2020 of 27 November 2020, the announced capital increase by a nominal value of DKK 5,049,337 has now been completed. The capital increase is effectuated as part of the transaction, whereby Vestas acquires full ownership of the offshore business in the joint venture company MHI Vestas Offshore Wind A/S, against MHI's subscription of new shares in Vestas. The new shares issued to MHI amount to 2.5 percent of the total number of outstanding shares in Vestas following the capital increase, totaling 5,049,337 shares in Vestas.
With the capital increase, the total share capital of Vestas amounts to nominally DKK 201,973,452, divided into 201,973,452 shares of DKK 1 each.
The new shares will have the same rank ("pari passu") as the existing shares in Vestas and shall carry a right to dividend from today. The share issue was made pursuant to the authorisation in article 3(1)(b) of Vestas' Articles of Association, and as a directed share issue at market value, it has been effectuated without pre-emption rights for Vestas' existing shareholders and without publication of a prospectus.
The increase of the share capital has been registered with the Danish Business Authority. The new shares are expected to be admitted to trading and official listing on Nasdaq Copenhagen on 16 December 2020.
Vestas' Articles of Association have been amended to reflect the change in total share capital, and are published as an attachment to this announcement.
