This is to inform you that the Allotment Committee of the Company at its meeting held today i.e September 10, 2025 has allotted 1,13,284 Equity shares of face value of Rs. 10/each of the Company under Veranda Learning Solutions Limited - Employee Stock Option Plan 2022 , to the eligible grantees, pursuant to exercise of stock options granted thereunder.

‐ Consequent to the aforesaid allotment, the paid up share capital of the Company has increased as under:
