Sub: Intimation of allotment of 1,51,090 Equity Shares pursuant to exercise of Employee Stock Options under Veranda Learning Solutions Limited - Employee Stock Option Plan 2022

This is to inform you that the Allotment Committee of the Company at its meeting held today i.e Thursday, May 21, 2026, has allotted 1,51,090 Equity shares of face value of Rs. 10 each of the Company under Veranda Learning Solutions Limited - Employee Stock Option Plan 2022, to the eligible grantees, pursuant to exercise of stock options granted thereunder.

Consequent to the aforesaid allotment, the paid-up share capital of the Company has increased as under:
