Sub: Disclosure under Regulation 30 of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015 -Allotment of Equity Shares by Wholly Owned Subsidiary Company.

Pursuant to Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, we wish to inform you that Veranda XL Learning Solutions Private Limited ,a wholly owned subsidiary of Veranda Learning Solutions Limited (“ the Company ”), has allotted 40,29,843 (Forty Lakh Twenty-Nine Thousand Eight Hundred and Forty-Three) equity shares of face value Rs.10/- each at an issue price of Rs.526.62/- per share, aggregating to Rs.2,12,21,95,920.66 (Rupees Two Hundred Twelve Crore Twenty-One Lakh Ninety-Five Thousand Nine Hundred and Twenty and Paise Sixty-Six only), to the Company.

The allotment has been made to the Company pursuant to the of conversion of an outstanding loan including interest into equity.

As per the communication received from the Subsidiary dated September 10, 2025, the above-mentioned equity shares have been duly allotted to the Company.
