Sub: Intimation of allotment of 75,950 Equity Shares pursuant to exercise of Employee Stock Options under Veranda Learning Solutions Limited - Employee Stock Option Plan 2022.

This is to inform you that the Allotment Committee of the Company vide a resolution passed at its meeting held on April 26, 2024, has allotted 75,950 equity shares of face value of Re. 10/- each of the Company under Veranda Learning Solutions Limited - Employee Stock Option Plan 2022, to the eligible grantees, pursuant to exercise of stock options granted thereunder .

‐ Consequent to the aforesaid allotments, the paid up share capital of the Company has increased as under :

In terms of Regulation 10(c) of the SEBI (Share Based Employee Benefits and Sweat Equity) Regulations, 2021 (“SEBI Regulations”), the details of shares allotted as above are given in Annexure I to this intimation. Further, this intimation is in terms of Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, however, we wish to clarify that aforesaid allotment of shares is not material in nature to the Company.
