Sub: Intimation of allotment of 99,599 Equity Shares pursuant to exercise of Employee Stock Options under Veranda Learning Solutions Limited - Employee Stock Option Plan 2022.

This is to inform you that the Allotment Committee of the Company vide a resolution passed at its meeting held on 5[th] August 2024, has allotted 99,599 equity shares of face value of Re. 10/- each of the Company under Veranda Learning Solutions Limited - Employee Stock Option Plan 2022, to the eligible grantees, pursuant to exercise of stock options granted thereunder.

‐ Consequent to the aforesaid allotments, the paid up share capital of the Company has increased as under:
