Sub: Disclosure under Regulation 30 of SEBI (Listing Obligations & Disclosure “ " - Requirements) Regulations, 2015 as amended ( SEBI Listing Regulations ) Update on acquisitions

We refer to our earlier intimations dated May 22,2023 and May 17,2025 (“Earlier Intimations”) regarding the acquisitions of Neyyar Academy Private Limited (“Neyyar Academy”) and Neyyar Education Private Limited (“Neyyar Education”) by Veranda Administrative Learning Solutions Private Limited (“VALSPL”), a wholly owned subsidiary of the Company.

Further to our earlier intimations, we wish to inform you that VALSPL has successfully completed the acquisition of the remaining equity stake in Neyyar Academy and Neyyar Education, as outlined below.:

• a) 864 fully paid-up Equity shares of Rs.10/- each of Neyyar Academy Private Limited (i.e. constituting 6.52% Equity Share Capital of Neyyar Academy)

• b) 701 fully paid-up Equity shares of Rs.10/- each of Neyyar Education Private Limited (i.e. constituting 6.52% Equity Share Capital of Neyyar Education)

These acquisitions were carried out for cash consideration, and as a result, Neyyar Academy and Neyyar Education have become wholly owned subsidiaries of VALSPL.
