We wish to inform you that, pursuant to Regulation 29(1)(d) of the SEBI Listing Regulations, a meeting of the Board of Directors of Veranda Learning Solutions Limited is scheduled to be held on Saturday, the 17[th] day of May 2025, to inter alia, consider a proposal for issuance of equity shares or any other eligible securities (“Securities”) through permissible modes, including but not limited to a private placement, a qualified institutions placement, preferential issue, or any other method or combination of methods as may be permitted under applicable laws, subject to such regulatory/statutory approvals as may be required.

Further, we wish to inform you that the Company proposes to seek Members’ approval for the above proposal in the ensuing Extraordinary General Meeting of the Company and approve the ancillary actions for the aforesaid matters.

We further wish to inform you that, in terms of Regulation 9 of the SEBI (Prohibition of Insider Trading) Regulations, 2015, as amended, and the Company's Code of Fair Disclosure and Code of Conduct for Prevention of Insider Trading, the trading window for dealing in the securities of the Company, which was closed from April 01, 2025, shall continue to remain closed for all the Designated Persons and their immediate relatives and shall re-open 48 hours after declaration of Audited Financial Results (Consolidated & Standalone) of the Company for the quarter and year ended March 31, 2025.
