We refer to our earlier intimations dated May 22,2023 and May 17,2025 (“Earlier Intimations”) regarding the acquisitions of Veranda K-12 Learning Solutions Private Limited (“Veranda K- 12”) formerly known as Educare Infrastructure Services Private Limited by Veranda Administrative Learning Solutions Private Limited (“VALSPL”), a wholly owned subsidiary of the Company.

Further to our earlier intimations, we wish to inform you that VALSPL has successfully completed the acquisition of the remaining equity stake in Veranda K-12, as outlined below:

• a) 4,924 fully paid-up Equity shares of Rs.10/- each of Veranda K-12 Learning Solutions Private Limited (i.e. constituting 9.60% Equity Share Capital of Veranda K-12)

This acquisition was carried out for cash consideration, and as a result Veranda K-12 has become a wholly owned subsidiary of VALSPL.
