Sub: Qualified Institutions Placement of equity shares of face value of INR 10 (the “Equity Shares”) by Veranda Learning Solutions Limited (the “Company”) under the provisions of Chapter VI of Securities and Exchange Board of India (Issue of Capital and Disclosure Requirements) Regulations, 2018, as amended (the “SEBI ICDR Regulations”), and Sections 23(1)(b),42 and 62 (1)(c) of the Companies Act, 2013 and the rules made thereunder, each as amended (the“Issue”)

In furtherance to our letter dated July 17, 2025, informing you about the opening of the issue and the floor price for the Issue, we wish to inform you that the Qualified Institutions Placement Committee (the “QIP Committee”) at its meeting held today i.e. Tuesday, July 22, 2025, has, inter alia, passed the following resolutions:

a. Approved the closure of the Issue today (i.e. Tuesday, July 22, 2025) pursuant to the receipt of application forms and the funds in the escrow account from the eligible qualified institutional buyers in accordance with the terms of the Issue;

b. Determined and approved in accordance with the SEBI ICDR Regulations the allocation of 1,58,71,173 Equity Shares at an Issue price of INR 225.20 per Equity Share [which takes into account a discount of INR 11.72 per Equity Share i.e. 4.95% to the floor price of INR 236.92 per Equity Share, (including a premium of INR 215.20 per Equity Share) upon the closure of the Issue, determined according to the formula prescribed under Regulation 176 of Chapter VI of the SEBI ICDR Regulations, for the Equity Shares to be allotted to the eligible qualified institutional buyers in the Issue;

c. Approved and adopted the placement document dated July 22, 2025, in connection with the Issue; and

d. Approved and finalized the confirmation of allocation note (CAN) to be sent to eligible qualified institutional buyers, intimating them of the allocation of Equity Shares pursuant to the Issue;

In this relation we are filing the placement document dated July 22, 2025, with BSE Limited and National Stock Exchange of India Limited today.
