Sub: Disclosure under Regulation 30 of SEBI (Listing Obligations & Disclosure Requirements) Regulations, 2015 as amended (“SEBI Listing Regulations")

We refer to our earlier intimation dated September 25,2025 regarding the Strategic Divestment of Vocational Segment and Consequent Acquisition of 50% Stake in SNVA Edutech Limited.

Further to the above-mentioned intimation, we wish to inform you that SNVA Edutech Limited, on October 27, 2025, allotted the following equity shares:

a) 15,432 Equity Shares to Veranda Learning Solutions Limited (“the Company”) as consideration for the sale of the entire equity shareholding in Brain4ce Education Solutions Private Limited and Veranda Management Learning Solutions Private Limited (both wholly owned subsidiaries of the Company). Consequently, these entities have ceased to be subsidiaries of the Company.

b) 2,902 Equity Shares to Veranda Administrative Learning Solutions Private Limited (“VALSPL”), a wholly owned subsidiary of the Company, as consideration for the sale of the entire equity shareholding in Six Phrase Edutech Private Limited (“Six Phrase”). Accordingly, Six Phrase has ceased to be a subsidiary of VALSPL and a step-down subsidiary of the Company.

As a result of the above transactions, the Company along with VALSPL now collectively holds 50% of the equity share capital of SNVA Edutech Limited. Accordingly, SNVA Edutech Limited has become an associate company of Veranda Learning Solutions Limited.

The Letters of Allotment’s from SNVA Edutech Limited were received by the Company and VALSPL on October 28, 2025.
