Sub: Intimation of the Board Meeting under Regulation 29 of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015

We hereby inform that a meeting of the Board of Directors of the Company is scheduled to be held on Thursday, September 7, 2023, inter alia, to consider and approve raising of funds by way of issuance of Non-Convertible Debentures (NCDs), bonds/ other instruments aggregating to Rs. 1000 Crores in one or more tranches over the next twelve months from the date of approval by the Members.

This Limit of Rs.1000Crore is in place of the earlier limit of Rs.1000cr which was valid till 26.05.2023.

Further, we wish to inform you that the Company proposes to seek Members’ approval for the above proposal in the ensuing Annual General Meeting of the Company to enable the board to issue Non-Convertible Debentures (NCDs), bonds/ other instruments from time to time to meet the funding requirements for acquisition and general corporate purposes within the above limit without seeking members approval for each of the issuance.
