Pursuant to the Regulation 30(2) read with PARA-B of Part A of Schedule III of the SEBI (Listing Obligations and Disclosure Requirements) Regulation, 2015, the Finance & Investment Committee of the Board of Directors of the Company at its meeting held on 10th March 2023 has approved giving of Corporate Guarantee for Rs. 76.5 Crore in favor of Piramal Enterprises Limited in respect of financial facility to be availed by Veranda XL Learning Solutions Private Limited (VXLS) Wholly Owned Subsidiary of the Company.

In compliance with Regulation 30 of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015 (“Listing Regulations”) read with circular issued by the Securities and Exchange Board of India vide no. CIR/CFD/CMD/4/2015 dated September 9, 2015, the details of corporate guarantee are as follows:
