Sub: Outcome of the Board Meeting under Regulation 30 of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015.

The Board of Directors of the Company at their meeting held today, i.e, 7[th] September, 2023 , has inter alia approved the following:

1.Subject to the approval of the Shareholders and such Statutory and Regulatory approvals as necessary, the Board of Directors has approved raising of funds by way of issuance of Non-Convertible Debentures (NCDs), bonds/ other instruments from time to time to meet the funding requirements for acquisition and general corporate purposes aggregating to Rs. 1000 Crores in accordance with the provisions of the Securities and Exchange Board of India and the Companies Act, 2013 in one or more tranches over the next twelve months from the date of approval of the members at the ensuring AGM without seeking members approval for each of the issuance.

This is in the form of an enabling resolution and the specific details of issuance will be intimated to you as and when the board finalises the terms of issuance.

The meeting of the Board of Directors commenced at 11.00 A.M & concluded at 12:10 P.M
