Sub: Disclosure of the details of allotment in the Issue (as defined hereinafter) by Varroc Engineering Limited (“the Company”) in accordance with the SEBI (Listing Obligations and Disclosures Requirements), 2015, as amended (“the Listing Regulations”)

Re: Qualified institutions placement of equity shares of face value of ₹ 1 (“the Equity Share(s)”) by Varroc Engineering Limited (“the Company”) under the provisions of Chapter VI of SEBI (Issue of Capital and Disclosure Requirements) Regulations, 2018, as amended (the “SEBI ICDR Regulations”), and Sections 42 and 62 of the Companies Act, 2013 (including the rules made thereunder), as amended (“the Issue”)
In continuation of our earlier letter dated March 25, 2021 on the captioned subject, we wish to inform you that, in respect of the Issue, the Committee of Directors (Capital Raising) (“ Committee ”) through Circular resolution passed today i.e., March 25, 2021, approved the issue and allotment of 1,79,74,870 Equity Shares of face value of ₹ 1/each to 21 qualified institutional buyers at the issue price of ₹ 389/- per Equity Share (including a premium of ₹ 388/- per Equity Share), aggregating to ₹ ₹ 6,992.22 million, pursuant to the Issue.
The Issue opened on March 22, 2021 and closed on March 25, 2021 and the same was intimated to you through our letters dated March 22, 2021 and March 25, 2021, respectively.
Pursuant to the allotment of Equity Shares in the Issue, the paid-up Equity Share capital of the Company stands increased to ₹ 15,27,86,400 consisting of 15,27,86,400 Equity Shares.
