SUB: INTIMATION PURSUANT TO REGULATION 30 OF SEBI (LISTING OBLIGATIONS AND DISCLOSURE REQUIREMENTS) REGULATIONS, 2015 – AMENDMENT IN SHARE SUBSCRIPTION AND SHAREHOLDERS’ AGREEMENT

Dear Sir,

This is in continuation to our intimations dated 23rd April, 2026 inter-alia informing the exchange regarding execution of a ‘Share Subscription and Shareholders’ Agreement’ with Renew Green Energy Solutions Private Limited and Renew Green (MPR Four) Private Limited (Power Producer) for setting-up of a 19 MW AC (comprising 26.4 MW wind capacity and 15 MW solar capacity) Wind Solar Hybrid Power Plant at District Ratlam, Madhya Pradesh (“Project”), wherein the power generated will be supplied exclusively to Vardhman Textiles Limited under the Captive Rules.

In this regard, we would like to inform you that today, i.e. on 29th May, 2026, after the approval of the Committee of Directors (Renewable Energy), the Company has executed an ‘Amended Share Subscription and Shareholders’ Agreement’ with Renew Green Energy Solutions Private Limited and Renew Green (MPR Four) Private Limited. As per the Amended Agreement, all other things remaining the same, the ‘User Shareholder Subscription Amount’ and ‘Promoter Subscription Amount’ stands changed to Rs. 24.46 crore and Rs. 53.41 crore, respectively.

The meeting commenced at 01:30 p.m. and concluded at 02:15 p.m.
