1. Approved the Audited financial Results (both Standalone & Consolidated) of the Company for the Quarter and Financial Year ended 31[st ] March, 2020

Pursuant to Regulation 33 and other applicable provisions of SEBI (Listing Obligations and Disclosure Requirements) Regulations 2015, please find enclosed herewith, the said financial results together with Auditors' Report thereon and the Statements on Impact of Audit Qualifications for Standalone and Consolidated Audit Reports with modified opinion.

1. Re-appointed M/s Khal)na Ashwani & Associates, Company Secretaries, as the Secretarial Auditor for the Financial Year 2020-21.

2. Re-appointed M/s Ramanath Iyer & Co., Cost Accountants as Cost Auditors for the Financial Year 2020-21.

We further state that the Audit Report of Statutory Auditors is with qualified opinion with respect to the Audited Financial Results (both Standalone & Consolidated) of the Company for the quarter and 'financial year ended 31[st ] March, 2020.
