Gueitiro Matsuo Genso — Chairman, Fernando Jorge Buso Gomes — Vice-Chairman, Dan Conrado, Denise Pauli Pavarina, Eduardo Refinetti Guardia, Isabella Saboya de Albuquerque, Lucio Azevedo, Marcel Juviniano Barros, Ney Roberto Ottoni de Brito, Sandra Maria Guerra de Azevedo, Toshiya Asahi, and the alternative member Mr. Eduardo de Oliveira Rodrigues Filho, and also Mr. Luiz Gustavo Gouvêa, as Corporate Governance Secretary of Vale S.A. (“Vale”), having unanimously resolved upon the following: “ REELECTION OF CHIEF EXECUTIVE OFFICER OF VALE — Consonant with the Succession Policy approved on 12/20/2018, the Board of Directors ( ) approved, with a favorable report of the Personnel Committee ( ), the reelection of Mr. FABIO SCHVARTSMAN , Brazilian, married, production engineer, bearer of the identity card number 4.144.579-X issued by SSP/SP, enrolled at Brazilian Taxpayer Registry (CPF/MF) under #940.563.318-04, with commercial address at Praia de Botafogo 186, room 1901, Botafogo, Rio de Janeiro, RJ, as Chief Executive Officer of Vale, with a two-year term, effective from the end of the current term, that is, on May 26, 2019. The Chief Executive Officer elected herein have declared to be free and clear to serve in such position according to article 147 of the Brazilian Corporate Law (Law #6.404/76)”.
