Composizione del capitale sociale a seguito annullamento azioni proprie
UniCredit comunica che, in esecuzione della delibera assunta dall'Assemblea degli azionisti del 27 marzo 2025, in data odierna è stato disposto l'annullamento di n° 53.733.948 azioni proprie senza riduzione del capitale sociale.
Il numero delle azioni annullate è pari alla somma delle azioni acquistate in esecuzione della "Prima Tranche del Residuo Share Buy-Back 2024" il cui completamento è avvenuto in data 29 settembre 2025 e non annullate in precedenza e delle azioni acquistate in esecuzione della "Seconda Tranche del Residuo Share Buy-Back 2024" il cui completamento è avvenuto in data 9 febbraio 2026.
Il capitale sociale della Banca, che ammonta a Euro 21.509.089.303, è ora diviso in n° 1.507.953.015 azioni prive del valore nominale.
L'atto notarile di annullamento delle predette azioni proprie è stato depositato presso il Registro delle Imprese in data odierna.
Di seguito è indicata la variazione del numero di azioni UniCredit a esito dell'annullamento:

Composition of share capital following cancellation of treasury shares
UniCredit hereby announces that, in execution of the resolution adopted by the Shareholders' Meeting held on 27 March 2025, No. 53,733,948 treasury shares were cancelled today without any reduction in share capital.
The number of cancelled shares is equal to the sum of the shares purchased in execution of the "First Tranche of the 2024 Residual Share Buy-Back" which was completed on 29 September 2025, and not previously cancelled, and the shares purchased in execution of the "Second Tranche of the 2024 Residual Share Buy-Back", which was completed on 9 February 2026.
The Bank's share capital, which amounts to €21,509,089,303, is now divided into No. 1,507,953,015 shares with no nominal value.
The notarial deed of cancellation of such treasury shares has been filed today with the Company Register.
Below is the change in the number of UniCredit shares as a result of the cancellation:
