Composition of share capital
UniCredit S.p.A. announces that, following the free share capital increase aimed at servicing the Group Incentive System for a consideration of Euro 86,154,504 - corresponding to no. 6,255,326 shares - resolved by the Board of Directors on 10 February 2025 by virtue of the powers granted to it pursuant to Art. 2443 of the Civil Code, by the Extraordinary Shareholders' Meeting of 9 April 2020, by the Extraordinary Shareholders' Meeting of 15 April 2021 and by the Extraordinary Shareholders' Meeting of 12 April 2024, the Company's share capital amounts to Euro 21,453,835,025.48, divided into 1,557,675,176 shares without nominal value.
The share capital increase was executed by a deed dated 18 February 2025, filed and registered with the Company Register on 19 February 2025, together with the new Articles of Association amended to clause 5 and 6.

Composizione del capitale sociale
UniCredit S.p.A. comunica che, a seguito dell'aumento gratuito di capitale a servizio del Sistema Incentivante di Gruppo per Euro 86.154.504, corrispondenti a n° 6.255.326 azioni, deliberato dal Consiglio di Amministrazione il 10 febbraio 2025 in forza delle deleghe allo stesso conferite ai sensi dell'articolo 2443 del Codice Civile dall'Assemblea straordinaria del 9 aprile 2020, dall'Assemblea Straordinaria del 15 aprile 2021 e dall'Assemblea Straordinaria del 12 aprile 2024, il capitale sociale ammonta a Euro 21.453.835.025,48, diviso in 1.557.675.176 azioni prive del valore nominale.
L'aumento di capitale è stato eseguito con atto del 18 febbraio 2025, depositato e iscritto presso il Registro delle Imprese in data 19 febbraio 2025, unitamente allo Statuto sociale aggiornato agli articoli 5 e 6.
