Fusione di UCG Beteiligungsverwaltung GmbH in UniCredit SpA
Comunicato ai sensi dell'art. 70, comma 7, lettera a) del Regolamento Consob 11971/99
Si informa che, a seguito del rilascio dell'autorizzazione da parte di Banca d'Italia ai sensi dell'art. 57 del Testo Unico Bancario, in data odierna sono stati messi a disposizione del pubblico, ai sensi dell'art. 70, comma 7, lettera a) del Regolamento Consob 11971/99, i seguenti documenti relativi alla fusione transfrontaliera per incorporazione di UCG Beteiligungsverwaltung GmbH in UniCredit SpA.
-
- progetto di fusione e relazione dell'organo amministrativo di UniCredit SpA di cui all'art. 2501 quinquies del codice civile;
-
- bilanci al 31 Dicembre 2015, assunti quali situazioni patrimoniali delle società partecipanti all'operazione.

Merger of UCG Beteiligungsverwaltung GmbH into UniCredit SpA
Press release pursuant to Article 70, paragraph 7, lett. a) of Consob Regulation 11971/99
Following the release of the Bank of Italy authorization pursuant to Article 57 of the Italian Banking Act related to the merger of UCG Beteiligungsverwaltung GmbH into UniCredit SpA, in accordance with Article 70, paragraph 7, lett. a) of Consob regulation 11971/99, the documentation listed below has been made available to the public today:
- merger plan and report of the directors pursuant to article 2501 quinquies of the civil code; 2. balance sheets as of 31 December 2015, considered as financial statements of the companies involved in the transaction.
