With reference to the UniCredit S.p.A. Board of Directors meeting held on February 6th, 2019 which approved the Group's consolidated financial results for the 4Q18 and FY18, and the draft of UniCredit S.p.A. financial statement as at December 31st 2018, it is specified that the Board of Directors has approved the proposal to be submitted at the next Ordinary Shareholders' Meeting, to distribute a unitary dividend of 0.27 euro cents per ordinary UniCredit share. Such distribution, if approved at the Shareholders' Meeting, will take place - in accordance with all the applicable laws and regulations - on April 25th, 2019 having as ex-dividend date - identified as coupon n 4 - April 23rd, 2019. Under section 83 terdecies of Legislative Decree no. 58/1998 of February 24th, 1998 (here below "TUF"), those who at the end of April 24th, 2019 accounting day - based on the relevant records - will be Shareholders are the persons that will be entitled to receive the dividend.

"In riferimento alla seduta del Consiglio di Amministrazione di UniCredit S.p.A. riunitosi in data 6 febbraio 2019, che ha approvato i risultati finanziari consolidati di Gruppo del 4trim18 e del FY18 e il progetto di Bilancio di UniCredit S.p.A. al 31 dicembre 2018, si specifica che il Consiglio di Amministrazione ha deliberato la proposta di sottoporre alla prossima Assemblea ordinaria la distribuzione di un dividendo unitario di 0,27 centesimi di euro per ciascuna azione ordinaria UniCredit. Tale distribuzione, se approvata dall'Assemblea, avrà luogo, in conformità alle norme di legge e regolamentari applicabili, il giorno 25 aprile 2019, con data di "stacco" della cedola, identificata con il numero 4, il giorno 23 aprile 2019. Ai sensi dell'art. 83-terdecies del D.lgs. 24 febbraio 1998, n. 58 ("TUF"), saranno, pertanto, legittimati a percepire il dividendo coloro che risulteranno azionisti in base alle evidenze dei conti relativi al termine della giornata contabile del 24 aprile 2019."
