TXT: Launch of startup TXT InfraWise, a spin-off of Politecnico di Milano
TXT invests to create advanced AI-native solutions for the analysis and monitoring of critical infrastructure

TXT e-Solutions S.p.A., a company listed on the STAR segment of the Mercato Telematico Azionario organised and managed by Borsa Italiana S.p.A., announces the establishment of TXT InfraWise ("INFRAWISE"), a startup spin-off of Politecnico di Milano, focused on the development of technologies for the monitoring, analysis and management of critical infrastructure.
The initiative forms part of TXT's development strategy aimed at strengthening its offering in the IoT/OT solutions segment for the monitoring of critical infrastructure. In particular, INFRAWISE will enable the integration into TXT's proprietary platform of advanced algorithmic models derived from studies conducted by the Politecnico di Milano, thereby enabling real-time and predictive analysis of the health status of infrastructure.
As of today, TXT Group offers a complete monitoring system that includes design, supply of sensors – both off-the-shelf and proprietary, also developed through its subsidiary Teratron GmbH – and an IoT/OT platform for data collection, management and diagnostics. The integration of advanced models based on artificial intelligence represents a distinctive and strategic element, with development potential both across existing clients and in new markets, in Italy and abroad.
The initiative is also aimed at expanding the offering with software subscription services and at developing a highly qualified structure, capable of providing specialist consultancy up to the design, certification and testing of complex and critical systems.

Among the shareholders and advisors of the startup, the involvement of leading academic figures from the Politecnico di Milano is envisaged, including Ferruccio Resta, former Rector and current professor at the University, as well as President of the Centro Nazionale per la Mobilità Sostenibile MOST (the Italian centre dedicated to research and innovation in sustainable transport), and Marco Belloli, Director of the Department of Mechanical Engineering.
The transaction provides for a 67% stake held by TXT and 33% held by other operational shareholders linked to the University. TXT will support the development of the startup through an interest-free shareholder loan of up to €1 million, intended for research and development activities, with reference to the engineering of artificial intelligence agents based on algorithms developed by the Politecnico di Milano. A put option in favour of the minority shareholders is also planned, exercisable after three years, with a valuation linked to the profitability of the project.
The investment risk is mitigated by the presence of commercial opportunities already under development and by the possibility of internalising activities currently outsourced, generating revenue streams to support the startup's growth. Break-even is expected within the first year of operations.

INFRAWISE will operate primarily in the following areas: (i) analysis, assessment and modelling of bridges, viaducts, tunnels and critical infrastructure; (ii) design, development and integration of structural and infrastructural monitoring systems; (iii) data analysis and processing using data science, artificial intelligence and machine learning techniques; (iv) development of decision-support systems for diagnostic, predictive and preventive purposes, including the management of infrastructure safety and maintenance.
