TXT e-solutions: istruzioni e prezzo di recesso

Milano, 15 ottobre 2020 – 17:35

Con riferimento alle deliberazioni di cui ai punti 1 e 4 dell'assemblea tenutasi in data odierna, si rammenta che ai sensi dell'articolo 2437-ter, comma 3, del codice civile, il prezzo di liquidazione da riconoscere agli Azionisti Recedenti è stato determinato pari ad Euro 7,48 per ciascuna azione TXT e-solutions. Il prezzo di liquidazione è stato calcolato facendo riferimento alla media aritmetica dei prezzi di chiusura delle azioni TXT e-solutions nei sei mesi che precedono la pubblicazione dell'avviso di convocazione dell'Assemblea Straordinaria TXT e-solutions.

Gli Azionisti Recedenti potranno esercitare il loro diritto di recesso, in relazione a tutte o a parte delle azioni detenute, inviando una comunicazione a mezzo raccomandata alla sede legale di TXT e-solutions non oltre 15 giorni dall'iscrizione presso il Registro delle Imprese di Milano della delibera assembleare di approvazione dell'integrazione dell'oggetto sociale.

Le azioni per le quali è esercitato il diritto di recesso non potranno essere vendute o costituire oggetto di atti di disposizione.

TXT e-solutions: withdrawal instruction and price

Milan, 15 October 2020 – 18:00

With reference to the resolutions to point 1 and point 4 on the agenda of the Shareholders Meeting held today, we inform you that pursuant to Art. 2437-ter, paragraph 3, of the Italian Civil Code, the settlement price to be paid to the Withdrawing Shareholders will be €7.48 per each TXT e-solutions share. The settlement price was calculated by making reference to the arithmetic mean of the closing prices of TXT e-solutions shares in the six months that precede the publication of the call notice of the Extraordinary Shareholders' Meeting of TXT e-solutions.

The Withdrawing Shareholders may exercise the right of withdrawal, on all or part of the shares held, by sending a communication via registered letter to the registered office of TXT e-solutions no more than 15 days from registration, at the Milan Register of Companies, of the shareholders' meeting resolution approving the addition to the corporate purpose.

The shares of TXT e-solutions for which the right of withdrawal is exercised may not be sold or disposed of until the transfer of the shares themselves.
