SECTION 708A NOTICE - ISSUE OF WINDIMURRA VANADIUM LIMITED SECURITIES WITHOUT A PROSPECTUS

Windimurra Vanadium Limited ABN 65 009 131 533 ( WVL ) has today issued 12,600,000 shares in WVL to professional and sophisticated investors pursuant to the placement announced on 28 March 2008.

WVL gives notice under section 708A(5)(e) of the Corporations Act 2001 (Cth) ( Act ) that:

• WVL issued 12,600,000 ordinary shares in WVL without disclosure to investors under Part 6D.2 of the Act;

• as a disclosing entity, WVL is subject to regular reporting and disclosure obligations;

• as at the date of this notice, WVL has complied with the provisions of Chapter 2M and section 674 of the Act as they apply to WVL; and

• as at the date of this notice, there is no information that is “excluded information” within the meaning of section 708A(7) of the Act.
