EXTENSION OF TIME TO HOLD ANNUAL GENERAL MEETING
Titanium Sands Limited (ASX: TSL) (“ Company ”) advises that the Australian Securities and Investments Commission (“ ASIC ”) has granted the Company an extension of time to hold its Annual General Meeting (“ AGM ”) for the financial year ended 30 June 2017.
The Company is required to hold an AGM by 30 November each year. The extension granted by ASIC allows the Company to hold its AGM by 31 January 2018, noting that ASIC has imposed a blackout period between 20 December 2017 and 7 January 2018 due to the Christmas and New Year season, during which the Company cannot hold its AGM.
As previously released to ASX, the Company is in the final stages of preparing a notice of meeting to convene a General Meeting (“ GM ”) to approve the acquisition of the Sri Lankan Mineral Sands Project (“ Proposed Acquisition ”), which will also require the Company to re-comply with Chapters 1 and 2 of the ASX Listing Rules. It is likely that the GM will be held during December 2017, with timing dependent on the finalisation of the independent expert’s reports to be included in the notice and the approval process to be undertaken with ASX and ASIC. The extension of time to hold the AGM was sought to avoid the expense of calling two meetings in close succession and to allow the Company to incorporate the resolutions required for the purposes of the Proposed Acquisition with the business of the AGM.
Shareholders will be advised of the relevant details of the AGM as soon as possible.
