The following is a Company Announcement issued by Tigné Mall p.l.c. (C 35139) (the "Company") in terms of Chapter 5 of the Capital Markets Rules of the Malta Financial Services Authority

Changes in the Composition of the Board of Directors and the Audit Committee

The Company hereby announces that Ms Marzena Formosa and Mr Etienne Sciberras have resigned from their positions as non-executive directors of the Company and consequently from their respective roles on board committees with effect from the 7 November 2024. The Board of Directors thanked Ms Formosa and Mr Sciberras for their unwavering commitment and meaningful contribution to the Company and wished them success for the future.

The Company further announces the appointment of Dr Annabel Hili, holder of Maltese identity card number 534891(M) and residing at 71, Shelanu, Triq San Pawl, Safi, Malta and Mr Dorian Desira, holder of Maltese identity card number 442281(M) and residing at Sayonara, FL 6, Triq iz-Zebbuga, Gudja, Malta as non-executive directors of the Company. The appointments, in terms of Article 99(2) of the Company's Articles of Association, are with effect from the 7 November 2024.

Dr Hili has occupied the role of Chief Operating Officer at Hili Ventures Ltd. since 2020. She graduated as a lawyer in 2015 and is also a director of 1923 Investments plc.

Mr Desira is Chief Financial Officer at Hili Ventures Ltd., having occupied various finance roles within the Hili Ventures Group since 1997. Mr Desira holds a CPA warrant and is a fellow of the Malta Institute of Accountants and the Association of Chartered Certified Accountants. Mr Desira currently serves as director of Premier Capital plc, Hili Finance Company plc, 1923 Investments plc and Harvest Technology plc.

Dr Hili and Mr Desira are the directors of Marsamxett Properties Ltd., a Hili Ventures subsidiary and majority shareholder of the Company.

There are no matters concerning Dr Hili and Mr Desira that require disclosure in terms of Capital Markets Rules 5.20.5 to 5.20.9.

The Company's Audit Committee is now composed of Mr Albert Frendo as Chairman, Mr Joseph Zammit Tabona and Mr Michael Agius.
