TESMEC GROUP CONFIRMS THE GROWTH STRATEGY IN THE BUSINESS OF TECHNOLOGIES FOR ENERGY TRANSPORT BY SIGNING AN AGREEMENT FOR THE ACQUISITION OF THE GOING CONCERN OF AMPERE S.R.L.

• The acquisition of the going concern Ampere S.r.l., highly specialized in commercial activities and after-sales services for the main Italian utilities, aims to complete the value proposition of Tesmec in the world of power grids;
• The transaction is part of the growth strategy in the sector of technologies for the energy transport and confirms the Group's commitment to invest in the Energy Automation segment.

Grassobbio (Bergamo - Italy), 1 st August 2016 – Tesmec S.p.A. (MTA, STAR: TES), at the head of a group leader in the market of infrastructures related to the transport and distribution of energy, data and materials, finalized today the acquisition of the going concern of Ampere S.r.l., in liquidation, including the trademark, operating in the sales of measurement and monitoring instruments and after-sales services in the field of production, transmission and distribution of power.

Ampere, founded in 1940, from the beginning is the distributor in Italy of some of the most qualified manufacturers of instruments for measurement, monitoring and diagnostics. During its history it got extensive experience winning the confidence of the major national players in the sectors Energy.

The acquisition of the going concern Ampere S.r.l., highly specialized in commercial activities and after-sales services for the main Italian utilities, aims to complete the value proposition of Tesmec which further strengthens in the world of power grids thanks to a vertical integration. The transaction is part of the growth strategy in the sector of technologies for the energy transport and confirms the Group's commitment to invest in the Energy Automation segment.

In detail, the transaction involves the acquisition of the going concern of Ampere S.r.l., at a price composed of a fixed part and a variable part. The net fixed price amounts to Euro 106,376.00. The variable part (Earn Out) is equal to 1% of the net revenues of the going concern in the next 13 months from the signature of the transfer agreement. Tesmec will use equity to pay of the transaction price.

On 31 December 2015, the going concern subject to acquisition recorded Revenues of around Euro 2.7 million.
