TESMEC S.P.A.: VARIAZIONE NELLA COMPOSIZIONE DEL COMITATO PER LA REMUNERAZIONE E LE NOMINE

Grassobbio (Bergamo), 16 giugno 2022 – Tesmec S.p.A. (MTA, STAR: TES), a capo di un gruppo leader nel mercato delle infrastrutture relative al trasporto e alla distribuzione di energia elettrica, dati e materiali, rende noto che in data odierna il Consiglio di Amministrazione della Società ha deliberato di modificare la composizione del Comitato per la Remunerazione e le Nomine al fine di garantire la massima aderenza alle raccomandazioni del Codice di Corporate Governance di Borsa Italiana S.p.A.

Alla luce di quando precede, alla data odierna il Comitato per la Remunerazione e le Nomine risulta composto come segue:

• Avv. Emanuela Teresa Basso Petrino, in qualità di Presidente.
• Dott. Antongiulio Marti; e
• Dott. Simone Andrea Crolla.

Grassobbio (Bergamo - Italy), 21 March 2022 – Tesmec S.p.A. (MTA, STAR: TES), at the head of a group leader in the market of infrastructures related to the transport and distribution of energy, data and material, announces that today the Board of Directors of the Company resolved to change the composition of the Remuneration and Appointments Committee in order to ensure maximum compliance with the recommendations of the Corporate Governance Code of Borsa Italiana S.p.A.

In light of the foregoing, as of today's date, the Remuneration and Appointments Committee is composed as follows:

• Mrs. Emanuela Teresa Basso Petrino, as Chairman.
• Mr. Antongiulio Marti; and
• Mr. Simone Andrea Crolla.
