Director and Executive Management Share Purchase

TerraCom Limited ( TerraCom or the Company ) wishes to advise shareholders of a recent purchase of fully paid ordinary shares by members of the TerraCom Board and Executive Management Team.

As per the substantial shareholder notice lodged this morning, Rainbow Max Limited has acquired 67,359,578 fully paid ordinary shares, representing approximately 9.42% of the Company’s total issued share capital. The effective price paid per share was 17 cents.

Rainbow Max Limited is a Company incorporated in Hong Kong and the following persons from the Board and Executive Management Team have an interest in the investment vehicle:

• Mr. Craig Ransley, Executive Deputy Chairman

• Mr. Glen Lewis, Non-Executive Director

• Mr. Danny McCarthy, Chief Executive Officer

• Mr. Nathan Boom, Chief Financial Officer

• Ms. Megan Etcell, Company Secretary

Commenting on the share purchase, Executive Deputy Chairman Craig Ransley said “TerraCom has certainly been through a tumultuous period over the last financial year and this investment by a number of TerraCom’s key management personnel publicly shows strong support for the TerraCom Group and its operations. We hope all shareholders share this same level of confidence and look forward to a rewarding future together.”

The Company is pleased with the level of support provided by members of the Board and Executive Management Team via the acquisition of this substantial shareholding.

In accordance with ASX Listing Rules, an Appendix 3Y will be released for Mr. Ransley and Mr. Lewis.

This announcement has been approved by the Company’s Disclosure Committee for release.
