NOTICE OF SHAREHOLDER RESOLUTIONS UNDER SECTION 249 OF THE CORPORATIONS ACT
In accordance with ASX Listing Rule 3.17A, TerraCom Limited (ASX:TER) ( TerraCom or Company ) wishes to advise shareholders that it has received notices from two shareholder groups seeking to requisition resolutions to appoint Directors at the 2021 Annual General Meeting.
Details of the notices are outlined below:

Shareholder – Bonython Coal No 1 Pty Ltd, holds 10.45% voting shares on issue. Director Nominee – Graeme Campbell

Shareholder – consortium including shareholders Gleneagle Securities, Thorney Investment Group and Bart Group. Collectively the consortium holds 9.5% voting shares on issue.
Director Nominee – Mark Lochtenberg
With respect to the date of the 2021 Annual General Meeting, the Board is finalising this given the changing restrictions associated with COVID-19 and the impacts on physical attendance at meetings. Once the date is confirmed, the Company will proceed to finalise the Notice of Meeting, which will include all resolutions to be considered at the Annual General Meeting, together with the response and voting recommendations on the requisitioned resolutions noted above.
This announcement has been approved by the Board for release.
