TERNA: 2025 CALENDAR OF CORPORATE EVENTS

Rome, 22 January 2025 – Terna S.p.A. ("Terna") publishes the 2025 calendar of corporate events:

25 March 2025	Board of Directors meeting to approve the Annual Report for 2024, which contains the report on operations, including the sustainability reporting pursuant to the Corporate Sustainability Reporting Directive (Directive 2022/2464/EU), Terna S.p.A. separate and Terna Group consolidated financial statements for the year ended 31 December 2024 and the proposed profit allocation.
15 May 2025	Board of Directors meeting to approve the Interim Report as at 31 March 2025.
30 July 2025	Board of Directors meeting to approve the Interim Financial Report as at 30 June 2025.
13 November 2025	Board of Directors meeting to approve the Interim Report as at 30 September 2025.

Conference calls will be held following the above Board of Directors meetings in order to present the financial results to the market.

A dedicated meeting for the presentation of the update of the 2024-2028 Industrial Plan is also scheduled for 25 March 2025, on the occasion of the disclosure of the financial statement results for the year 2024.

The Shareholders Meeting called to approve Terna S.p.A.'s financial statements as of 31 December 2024, as well as the profit allocation, will take place in a single call on 21 May 2025.

Finally, the payment of ordinary dividends in 2025 will take place as follows:

25 June 2025	payment of the final dividend for 2024, with an ex-dividend date of 23 June 2025 (the record date in accordance with art. 83-terdecies of Italian Legislative Decree no. 58 of 24 February 1998, the Consolidated Law on Finance (CLF) will be: 24 June 2025).
26 November 2025	payment of interim dividend for 2025, with an ex-dividend date of 24 November 2025 (the record date in accordance with art. 83-terdecies of Italian Legislative Decree no. 58 of 24 February 1998, the Consolidated Law on Finance (CLF) will be: 25 November 2025).

Any changes to the above calendar will be promptly announced to the market.

Pursuant to Art. 82-ter of the CONSOB Issuers Regulation as amended by the CONSOB Resolution no. 19770 of 26 October 2016, we hereby inform that, as in the past, also in 2025 TERNA S.p.A. will publish – following resolution by the Board of Directors – the consolidated results as at 31 March and at 30 September contained in the dedicated interim reports, which ensure the consistency and correctness of the additional periodic financial information provided to the public and the comparability of the related information with the corresponding data in the interim reports previously published.

The related data will be approved and reported on a voluntary basis following TERNA S.p.A.'s annual calendar communicated to the market and without prejudice to any provisions otherwise applied by current regulations. The documentation will be made available within the terms previously established and consequently within forty-five days from the end of the relevant quarter, at the Company's registered office, on the Company website (www.terna.it), on Borsa Italiana S.p.A.'s website (www.borsaitaliana.it) and through the authorised storage service ().
