Terna: director Enrico Tommaso Cucchiani resigns from the Board of Directors

Rome, 28 May 2025 – TERNA S.p.A. announces that today Enrico Tommaso Cucchiani, member of the TERNA S.p.A. Board of Directors, tendered his resignation, effective from the date of appointment of his replacement, due to supervening professional commitments.

Mr Enrico Tommaso Cucchiani, a non-executive and independent director who was elected by the Annual General Meeting of 9 May, 2023 as part of the majority list submitted by CDP RETI S.p.A., was chair of the Remuneration and Nominations Committee and a member of the Audit and Risk Committee.

The Company wishes to specify that, to the best of its knowledge, at today's date Mr Enrico Tommaso Cucchiani does not hold any TERNA S.p.A. shares.

The Company thanks Mr Enrico Tommaso Cucchiani for his valuable professional and personal contribution during his mandate.

No indemnities or other benefits are envisaged in light of his resignation from the role.

Subsequently, the TERNA S.p.A. Board of Directors will make the necessary decisions.
