In order to ensure a complete and accurate information of the shareholders and potential investors, TeraPlast SA announces the followings:

In May 27 th 2020, TeraPlast received a notification regarding the change of shareholding and exceeding the threshold of 10% of the share capital, from NN Group N.V., parent company of the entities mentioned bellow:

• Optional Pension Fund NN Activ (managed by NN Asigurari de Viata SA) with a holding of 0.23% of TeraPlast's share capital;
• Optional Pension Fund NN Optim (managed by NN Asigurari de Viata SA) with a holding of 0.40% of TeraPlast's share capital;
• Pension Fund private managed NN (managed by NN Pensii S.A.F.P.A.P. S.A.) with a holding of 10.99% of TeraPlast's share capital;

So the total number of shares owned by these entities after the transaction, respectively at 27.05.2020, is of 155,626,919, which represents 11,63% of the share capital of TeraPlast S.A.
