Closing of the acquisition of Aquatica Experience Group (AEG)

Bistrița, April 23, 2025

TeraPlast SA announces its shareholders and the potential investors that today, April 23, 2025, it has completed the transaction to acquire the majority stake, of 51%, of the share capital of Aquatica Experience Group (AEG).

At the closing, TeraPlast paid EUR 2 million to the sellers and provided a loan of EUR 1.5 million to support the growth of the activity of the new subsidiary. The final value of the acquisition will be determined based on AEG's financial statements as of December 31, 2025, using the agreed formula of 5 x EBITDA, with necessary adjustments (cash, working capital, debt).

Additionally, TeraPlast SA appoints Mr. Ovidiu Gurău, TeraPlast's commercial director, as coadministrator of AEG.

We remind you that Aquatica Experience Group is an integrated engineering player, providing water treatment, purification, and management solutions, including digital components, which contribute to expanding the portfolio of integrated water management solutions offered by TeraPlast.

AEG is part of the initiative to establish an European consortium, called Knowledge and Innovation Community Water (KIC), whose objective is to establish a center of excellence and innovation in water infrastructure in Romania, impacting the assurance of this resource and the safety of water delivery. The consortium's targeted partners include both public and governmental institutions in Romania, as well as industrial partners and research centers, such as the Luxembourg Institute of Science and Technology.
