  • 2This statement is as per regulation 33 of the SEBI (Listing obligationsand disclosure Requirements) Regulations, 2015. These financials results of the Company were prepared in accordance with the Indian Accounting Standards prescribed under section 133 of the Companies Act, 2013 ("the act") read with relevant rules issued there under ("Ind AS") and other accounting principles generally acceprted in India and guidelines issued by the Securities and Exchange Boardof India ("SEBI").
  • 3Bank guarantee invoked by "Andhra Pradesh State Fibernet limited" of Rs.4.28 Crores, The said action was challenged by the company before the division bench of Andhra Pradesh High Court, Amaravathi, which is pending. Based on the legal opinion given by the counsel, the company has not made any provision in its books of accounts.
  • 4Orders Issued by GST Department: Best Judgment assessment orders under section 62 have been passed by the GST Department Andhra Pradesh for the period March 2020 to May 2021 for non filing of GSTR-3B returns and raised a demand of Rs 5.39 Crores including interest of Rs 16.07 Lakhs. Appeals filed on 08.07.2021 for the months of March 2020 to May 2020, filed on 27.10.2021 for the months of June 2020 to February 2021 and filed on 28.02.2022 for the months of March 2021 to May 2021 respectively before Appellate Deputy Commissioner, Commercial Taxes, Tirupathi against orders passed by GST Department,

  • 5orderc lssued by Appellate Deputy commissioner (CI), Tirupathi: The order restrlcts the lnput availed by the company to 7s% of thb lnput clalmed treating the servlce being executed as a works contract tnstbad of the supply and services contracts separately (ApSFt project). A demand of Rs.21,45,089/- has been raised by the depanment lncluding a penalty of Rs.429,018. The company was filed an appeal on 05.10.2021 to challenge the proceedings before the APVAT Appeallate Tribunat, Vlsakhapatnam.
  • 6Orders lssued by Deputy Commissioner (CT) Guntur Divlslon: The orders restricts the input avalled by the company to 75% of the input ' clalmed treating the work being executed as a Works contrad lnstead of the supply and services contracts separately (Ap Clvil Supplles Proiect). A demand of Rs.695,746/- has been raised by the department The company was filed an appeal on 05,10.2021 to challenge the proceedings before the APVAT Appeallate Tribunal, Visakhapatnam.
  • 7Correspondin8 quarter/year to date/Year figures have been re-grouped /re-classlfied wherever necessary to conflrm to the classificatlon of the current perlod.
  • 8The Company filed W.P. before Honourable AP High Court to release the payment of Rs.6a,67,O8S/- aSalnst CFMS ilo.201940889g to Tera Software Limited in relatlon to the work i.e. Supply, installation and malntenance of GPON OLTs, whlch is pending. Based on the tegal opinion glven by the counsel, the company has not made any provision in lts book of accounts.
  • 9 The Company fleld W.P. before Honourable AP Hlgh Court to release the payment ofamount Rs 1,6g,73,466 against CFMS No. 2019g3g737, Rs' 3, 37, 46' 9321'agalnst cFMs No. 2019409278 to Tera Software Umited in retatlon to the work of Annual Malntenance contract Services of PT Equipment, which is pending. Based on the legal opinlon given by the counsel, the company has not made any provlsion in its books of accounts.
  • 10The company field W.P. before Honourabte AP High Court Challengint the valldity of the Termination order of APBBNL dt.30.07.2020 given by APSFT for terminatlon of contract entered vlde Master Service Agreement dt.08.01.2019 and to release the pending amounts due to Tera Sofhrare Limtied, which is pending. Based on the legal opinion glven by the counsel, the company has not made any provision ln its book of accounts.
  • 11 The Company filed W.P. before Honourable AP High Court to release the pending amounts due to Tera Software limlted as against the invoices submitted towards the work executed under Master Service Agreement (MSA) dated 31.01.2019 along with interest and Challenging the validity of the Termination of contract orders dated.o6.o8,2020 for Ap Fiber Grid o&M contract covered by MSA, which is pendinS' Based on the legal opinion glven by counsel, the company has not made any provlslon in lts book ofaccounts.
  • 12M/s Encave lnfosystems, Gauhati filed a Money Suit claimed of Rs.31,06,508/- towards Blo-Metric Data Centre set-up and malntenance charges from Tera Software Umited and we have filed Reply and demanded Counter claim of Rs.50 lakhs because our materiat tylng wlth them,'which is pending' Based on the legat oplnlon given by counsel, the company has not made any provision ln lts book of accounts.
  • 13The figures of last quarter are the balancing figures behrreen audited figures in respect of the full financlal year and the pusblished year to date figures upto the third quarter of the current flnanclal year.

Opinion

We have audited the accompanying statement of Standalone Financial Results ("the Statement") of Tera Software Limited (hereinafter referred to as "the Company") for the quarter and year ended March 31, 2022, attached herewith, being submitted by the Company pursuant to the requirement of Regulation 33 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, as amended ('Listing Regulations').

In our opinion and to the best of our information and according to the explanations given to us, the aforesaid year to date Standalone financial results:

  • (i) are presented in accordance with the requirements of Regulation 33 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 as amended in this regard; and;
  • (ii) give a true and fair view in conformity with the aforesaid Accounting Standards and other accounting principles generally accepted in India of the net loss and other financial information of the Company for the quarter and year ended March 31, 2022.

Basis for Opinion

We conducted our audit in accordance with the Standards on Auditing ("SAs") specified under section 143(10) of the Companies Act, 2013 ("the Act"). Our responsibilities under those standards are further described in the Auditor's Responsibilities for the Audit of the Standalone Financial Results section of our report. We are independent of the Company in accordance with the code of ethics issued by the Institute of Chartered Accountants of India together with the ethical requirements that are relevant to our audit of the Standalone Financial Results under the provisions of the Act and the Rules thereunder, and we have fulfilled our other ethical responsibilities in accordance with these requirements and the Code of Ethics. We believe that the audit evidence we have obtained is sufficient and appropriate to provide a basis for our opinion on the Standalone Financial Results.

Management's and Board of Directors' Responsibilities for the Standalone Financial Results

These Standalone Financial Results have been prepared on the basis of the standalone financial statements.

The Company's Management and the Board of Directors are responsible for the preparation and presentation of these Standalone Financial Results that give a true and fair view of the net profit/loss and other financial information in accordance with the recognition and measurement principles laid down in Accounting Standards prescribed under Section 133 of the Act and other accounting principles generally accepted in India and in compliance with Regulation

33 of the Listing Regulations. This responsibility also includes maintenance of adequate accounting records in accordance with the provisions of the Act; safeguarding of the assets of the Company and for preventing and detecting frauds and other irregularities; selection and application of appropriate accounting policies; making judgments and estimates that are reasonable and prudent; and the design, implementation and maintenance of adequate internal financial controls, that were operating effectively for ensuring accuracy and completeness of the accounting records, relevant to the preparation and presentation of the Standalone Financial Results that give a true and fair view and are free from material misstatement, whether due to fraud or error.

In preparing the Standalone Financial Results, the Management and the Board of Directors are responsible for assessing the Company's ability to continue as a going concern, disclosing, as applicable, matters related to going concern and using the going concern basis of accounting unless the Board of Directors either intends to liquidate the Company or to cease operations, or has no realistic alternative but to do so.

'The Board of Directors is responsible for overseeing the Company's financial reporting process.

Auditor's Responsibilities for the Audit of the Standalone Financial Results

Our objectives are to obtain reasonable assurance about whether the Standalone Financial Results as a whole are free from material misstatement, whether due to fraud or error, and to issue an auditor's report that includes our opinion. Reasonable assurance is a high level of assurance but is not a guarantee that an audit conducted in accordance with SAs will always detect a material misstatement when it exists. Misstatements can arise from fraud or error and are considered material if, individually or in the aggregate, they could reasonably be expected to influence the economic decisions of users taken on the basis of these Standalone Financial Results.

As part of an audit in accordance with SAs, we exercise professional judgment and maintain professional skepticism throughout the audit. We also:

  • * Identify and assess the risks of material misstatement of the financial statements, whether due to fraud or error, design and perform audit procedures responsive to those risks, and obtain audit evidence that is sufficient and appropriate to provide a basis for our opinion. The risk of not detecting a material misstatement resulting from fraud is higher than for one resulting from error, as fraud may involve collusion, forgery, intentional omissions, misrepresentations, or the override of internal control.
  • « Obtain an understanding of internal financial controls relevant to the audit in order to design audit procedures that are appropriate in the circumstances, but not for the purpose of expressing an opinion on the effectiveness of such controls.
  • « Evaluate the appropriateness of accounting policies used and the reasonableness of accounting estimates and related disclosures made by the Management and Board of Directors.
  • e Evaluate the appropriateness and reasonableness of disclosures made by the Board of Directors in terms of the requirements specified under Regulation 33 of the Listing Regulations.
  • « Conclude on the appropriateness of Management and Board of Directors use of the going concern basis of accounting and, based on the audit evidence obtained, whether a material uncertainty exists related to events or conditions that may cast significant doubt on the Company's ability to continue as a going concern. If we conclude that a material uncertainty exists, we are required to draw attention in our auditor's report to the

related disclosures in the financial statements or, if such disclosures are inadequate, to modify our opinion. Our conclusions are based on the audit evidence obtained up to the date of our auditor's report. However, future events or conditions may cause the Company to cease to continue as a going concern.

  • « Evaluate the overall presentation, structure and content of the financial statements, including the disclosures, and whether the financial statements represent the underlying transactions and events in a manner that achieves fair presentation.
  • « Obtain sufficient appropriate audit evidence regarding the Standalone F inancial Results of the Company to express an opinion on the Standalone Financial Results.

Materiality is the magnitude of misstatements in the Standalone Financial Results that, individually or in aggregate, makes it probable that the economic decisions of a reasonably knowledgeable user of the Standalone Financial Results may be influenced. We consider quantitative materiality and qualitative factors in (i) planning the scope of our audit work and in evaluating the results of our work; and (ii) to evaluate the effect of any identified misstatements in the Standalone Financial Results.

We communicate with those charged with governance regarding, among other matters, the planned scope and timing of the audit and significant audit findings, including any significant deficiencies in internal control that we identify during our audit.

We also provide those charged with governance with a statement that we have complied with relevant ethical requirements regarding independence, and to communicate with them all relationships and other matters that may reasonably be thought to bear on our independence, and where applicable, related safeguards.

Other Matter

The Standalone Financial Results include the results for the quarter and Year ended March 31, 2022 being the balancing figures between the audited figures of the full financial year and the published unaudited year to date figures up to Is half year of the current financial year.
