The Nomination Committee proposes to the Corporate Assembly of Telenor ASA to elect the following candidates:

Svein Aaser. Born 1946 and lives in Drøbak, Norway. Mr. Aaser was CEO of Den norske Bank and DnB NOR from 1998 to 2007 and CEO of Nycomed from 1987 to 1996. He has previously been the CEO of Storebrand Skade, Nora Matprodukter and Stabburet Nora. He is Chairman of the Board of the Norwegian National Museum of Art, Pharmaq and Ascender. He has served as president of The Confederation of Norwegian Enterprise (NHO) and as Chairman of Statkraft, Finance Norway, Ocean Yield AS and Det norske Oljeselskap. He obtained a Master in Business Administration from the Norwegian School of Economics and Business Administration in Bergen, Norway, and has studied at the Institute for Management Development in Lausanne in Switzerland. Chairman of the Board of Telenor ASA since 2012. Nominated for re-election.

Dr. Burckhard Bergmann. Born in 1943 and lives in Hattingen, Germany. Dr. Bergmann was until February 2008 Chairman of the Management Board of the German energy group E.ON Ruhrgas AG. He also holds board positions in major international and German companies. Dr. Bergmann has been appointed Commander of the Royal Norwegian Order of Merit. In 1970 he obtained Dr. Eng. from Aachen University of Technology in Germany. Board member of Telenor ASA since 2008. Nominated for re-election.

Frank Dangeard. Born in 1958 and lives in London, United Kingdom. Mr. Dangeard has been Managing Partner of the advisory firm Harcourt, since 2008. Formerly, he served as Chairman and CEO of Thomson S.A., Deputy CEO of France Telecom, a Managing Director of SG Warburg & Co. Ltd., UK, Chairman of S.G. Warburg, France, and lawyer with Sullivan & Cromwell LLP in New York and London. Mr. Dangeard holds board positions in Crédit Agricole-CIB, France, Symantec Corp., US, RPX, US, and a number of non-listed companies. He is a member of the Advisory Board of the Harvard Business School, US, and of HEC, France. He is a "director-inresidence " at Insead, and Chairmain of the International Advisory Council of Hawkamah, Dubai. He has received the Légion d'Honneur and the Ordre du Mérite in France. He graduated from the Ecole des Hautes Etudes Commerciales, the Paris Institut d'Etudes Politiques and from Harvard Law School. Board member of Telenor ASA since 2011. Nominated for reelection.

Sally Davis. Born in 1953 and lives in London, United Kingdom. Ms. Davis has worked in the global telecommunications industry for 30 years, working for start-up cable companies in the UK as well as strategy and global operational roles based in the US and UK for Cable & Wireless, Verizon and BT. Ms. Davis has held several executive positions in British Telecom Group since 1999, including President BT Global Services and CEO of BT Wholesale. Ms. Davis has also held leadership positions in Bell Atlantic and

Mercury Communications. She is on the boards of Logitech, Switzerland and Cityfibre Holdings, UK. Previous Boards include Henderson Smaller Cap Investment Trust, Inet, an Italian hosting company; the UK Department for Transport and the BBC. Davis is a BA Hons graduate and a Fellow of University College, London. Board member of Telenor ASA since 2011. Nominated for re-election.

Dag Opedal. Born in 1959 and lives in Oslo, Norway. Mr. Opedal is former CEO of Orkla Group and has held other leading positions in Orkla, Ferd Capital, NorgesGruppen, Stabburet, Dyno Industrier and Nora Industrier. Mr. Opedal is an Executive Advisor to FSN Capital and holds board positions in Bertel O. Steen Holding, Nammo, Meltwater BV, Odin Forvaltning, Kavli Holding, Cosmetics Group and Norwegian Church Aid. Opedal holds a degree in Business Economics from the Norwegian School of Economics and Business Administration in Bergen, Norway, and a Master of Business Administration from INSEAD, Fontainebleau, France. Board member of Telenor ASA since 2011. Nominated for re-election.

Marit Vaagen. Born in Norway in 1967 and lives in Stockholm, Sweden. She started her professional career as a consultant with McKinsey & Company, where she in 2000 became a partner of the firm. Vaagen is the founder and CEO of Sirona AB, a healthcare management company. She holds a master from the Norwegian School of Economics and Business Administration in Bergen, and a Master of Public Policy from Harvard University's Kennedy School of Government. Board member of Telenor ASA since 2013. Nominated for re-election.

Jon Erik Reinhardsen. Born In 1956 and lives in Oslo, Norway. Mr. Reinhardsen is CEO of Petroleum Geo-Services (PGS), a position he has held since April 2008. Prior to joining PGS, he has held executive positions in Alcoa, Aker Kvaerner and Aker Maritime. Reinhardsen is a member of the Board of Directors in Cameron International Corp and Awilhelmsen Management. Reinhardsen holds a Master`s degree in Applied Mathematics and Geophysics from the University of Bergen, Norway. In 1991 he completed the International Executive Program at the Institute for Management Development (IMD) in Lausanne, Switzerland. Board member of Telenor ASA since 2014. Nominated for re-election.

Regi Aalstad. Born in Norway in 1964 and lives in Switzerland. Aalstad has held several General Manager and Vice President positions for Procter&Gamble in Asia, Europe, Middle East and Africa. Aalstad first joined Procter&Gamble's Nordic subsidiary in 1988 and has since been based in Egypt, Switzerland and Singapore in regional leadership roles in Fem Care, Baby Care and Personal Power. Aalstad was a member of Procter&Gamble's Global Business Executive Council since 2005 and served as Vice President of Baby Care until 2014. She completed the High Performance Board Programme at the Institute for Management Development in Lausanne, Switzerland in 2014. Aalstad holds a Master of Business Administration from the University of Michigan. Nominated for election.
