NOTICE TO SHAREHOLDERS' OF TECHNOPROBE
Cernusco Lombardone, October 11, 2024. It is hereby announced that the merger project, approved by the Board of Directors at its meeting on 10 October 2024, for incorporation into Technoprobe S.p.A. of DIS Tech Italia S.R.L., a wholly owned subsidiary, has been filed with the Como-Lecco Company Registry today.
The shareholders of Technoprobe S.p.A., which represent at least 5% of the share capital, with application addressed to the Company, within 8 days from the deposit of the merger project made on today (and then within 19 October 2024), may ask, pursuant to art. 2505, paragraph 3, of the Civil Code, that the decision approving the merger by incorporation into Technoprobe S.p.A. of the wholly-owned company DIS Tech Italia S.r.l. is adopted by the Extraordinary Meeting of the Company, instead of by the Board of Directors, pursuant to art. 2505, paragraph 3, civil code. This application must be accompanied by a certificate proving ownership of the shares and addressed, by certified e-mail (PEC) to [email protected] or by registered letter with return receipt to TECHNOPROBE S.p.A. - Function Legal and corporate affairs, Via Cavalieri di Vittorio Veneto n. 2, 23870 Cernusco Lombardone (LC).
The draft merger is available to the public at the head office in Via Cavalieri di Vittorio Veneto n. 2, 23870 Cernusco Lombardone (LC), on the Company's website (www.technoprobe.com, in the Governance/Other documents section) and at the authorised storage mechanism "eMarket Storage" ()
At the head office and on the website www.technoprobe.com (in the Governance/Other documents section) are also available the documents required by art. 2501-septies C.C., if available.
