On April 16, 2013, SYNNEX Corporation issued a press release, a copy of which is attached hereto as Exhibit 99.1 and is incorporated herein by reference, announcing that it has launched an offer to repurchase at option of holders and redemption of outstanding 4.0% Convertible Senior Notes due 2018 (the “Notes”).

This Current Report on Form 8-K is not an offer to purchase, nor the solicitation of an offer to sell, securities, nor a solicitation for acceptance of the offer for the Notes.
