Sub: Allotment of Equity Shares under TDPSL Equity Based Compensation Plan 2019

The Nomination and Remuneration Committee of the Board has, by a resolution passed today i.e. May 19, 2023 approved allotment of 90,035 Equity Shares Rs.2/- each, at par, pursuant to the exercise of employee stock appreciation rights (ESAR) under TDPSL Equity Based Compensation Plan 2019.

Consequent to the aforesaid allotment, the paid-up share capital of the Company stands increased from Rs.31,20,85,270/- (15,60,42,635 Equity Shares face value of Rs.2/- each) to Rs.31,22,65,340/(15,61,32,670 Equity Shares face value of Rs.2/- each).

In terms of Regulation 10(c) of the SEBI (Share Based Employee Benefits and Sweat Equity) Regulations, 2021, the statement on details of shares allotted are enclosed. Further, the intimation is also be considered in terms of Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015.

The aforesaid allotment of shares is not material in nature to the Company.
