Subject: Leadership Guidelines Following This Week’s Announcement
Leaders,
Following the announcement that Taylor Morrison has entered into a definitive agreement to be acquired by Berkshire Hathaway, I want to share some leadership guardrails, an updated Leadership FAQ that addresses equity, and provide visibility into our approved communications plan.
Leadership Guardrails
Stick to approved messaging. Do not share any information about the transaction beyond what is contained in the press release and approved communications materials.
Do not speculate. Do not speculate on the closing process or timeline, including the shareholder vote, regulatory approvals, or any other aspect of the transaction.
The deal has not yet closed. Do not represent that the transaction is complete or that the companies have combined. The merger agreement has been announced, but closing remains subject to satisfaction of applicable conditions.
Business as usual. While integration planning and brainstorming is permitted, do not implement any changes to the business in response to the announcement. Continue operating in the ordinary course.
Do not engage with outside inquiries. If you receive any inquiry from media or press, do not comment and please refer them to [email protected] . If you receive any inquiries analysts or stockholders, do not comment and please refer them to [email protected] . If you receive other third parties regarding the transaction, do not comment. Immediately report the inquiry to me.

Avoid written commentary. Do not put any commentary regarding the transaction in writing — including in emails, text messages, or chat/messaging platforms — as such communications could become subject to litigation discovery.
Social media. Do not post, comment, or engage in any discussion about the transaction on social media platforms — whether on personal or company accounts — as social media posts carry the same risks as other written communications and can reach a wide audience quickly.
Sensitive business information. Until the transaction closes, the two companies remain independent competitors and must continue to operate independently. Do not exchange competitively sensitive information (e.g., pricing, customers, business strategy) with Berkshire Hathaway outside of any approved protocols.
