Notification of Shortfall

HomeStay Care Limited (ASX: HSC) ( Company ) advises that the Company’s non-renounceable entitlement issue of three (3) fully paid ordinary shares in the capital of the Company ( Shares ) for every four (4) Shares held, at an issue price of $0.005 per Share, to raise up to approximately $2,997,184 (less costs) pursuant to the Company’s prospectus dated 9 October 2019 ( Entitlement Issue ), closed on 29 October 2019.

The results of the Entitlement Issue are as follows:

The Entitlement Issue is fully underwritten by Taylor Collison Limited (ACN: 008 172 450) (AFSL: 247083) ( Underwriter ). The remaining Shortfall Shares will be applied for in accordance with the terms of the underwriting agreement between the Company and the Underwriter ( Underwriting Agreement ).

The Company expects to issue the Shares accepted by and Shortfall Shares applied by Eligible Shareholders to those Eligible Shareholders on 5 November 2019, with the remaining Shortfall Shares being issued on settlement of the underwriting once all funds have been received which is expected to occur by 8 November 2019.
