Sub: Intimation of Board Meeting under Regulation 29 of SEBI (LODR) Regulations, 2015.

Further to our intimation vide letter dated 16th October 2024 regarding Board Meeting scheduled to be held on 24th October, 2024 through video conference and in compliance with the Regulations 29 of SEBI (Listing Obligations and Disclosure Requirements) Regulations 2015, we wish to inform you that Board of Directors of the Company at their aforesaid meeting will also consider the proposal for raising funds by way of issue of fresh Equity Shares and/or Convertible Warrants through preferential basis on a private placement basis , subject to such regulatory or statutory approvals as may be required including the approval of the Shareholders of the Company.

The Board, if required, would also consider to conduct an Extraordinary General Meeting/ Postal Ballot process to seek approval of the shareholders in respect of raising of funds by way of issue of fresh Equity Shares and/or Convertible Warrants on preferential basis, if the same are approved by the Board.

As informed earlier, the Trading Window, as per the provisions of the SEBI (Prohibition of Insider Trading) Regulations, 2015 and Company's code for Prevention of Insider Trading, is already closed from 1st October, 2024 and would re-open after 48 hours from the date of announcement of preferential issue of equity shares and/or declaration of unaudited financial result for the quarter ended 30th September, 2024, i.e. on 27th October, 2024.
