Pursuant to Regulation 30 read with Part A of Schedule III of SEBI (Listing Obligations and Disclosure Requirements), Regulations, 2015, we would like to inform you that, the Board of Directors at its Meeting held on 27[th] March, 2024 approved the following:-

1. Shri Sunil Mahnot (DIN: 06819974) re- appointed as Whole Time Director designated as Director(Finance) and Chief Financial Officer of the Company for a another period of 5 years w.e.f. 1[st] April, 2024 and disclosure of information pursuant to Regulation 30 of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, read with circular No. CIR/CFD/ CMD/4/2015 dated 9th September, 2015 is attached as Annexure-A .

2. Shri Ankit Gulgulia (DIN: 08383546) re-appointed as Non-Executive Independent Director of the Company for a second term of 5 years w.e.f. 1[st] April, 2024 and disclosure of information pursuant to Regulation 30 of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, read with circular No. CIR/CFD/ CMD/4/2015 dated 9th September, 2015 is attached as Annexure-B .

3. Further to disclosure dated 17[th] May 2023 regarding sale of Company’s Textile unit at Gajroula to M/s. Krishna Impex, Moradabad who entered into an MOU with T T Ltd have now finalized their two group entities to buy the Gajroula Textile unit in terms of clause 9 of MOU dated 26/05/2023. Now following entities will buy Company’s Gajraula Textile unit:

i.) Martco Export Private Limited, Moradabad ii.) Teerthanker Textile Export LLP, Moradabad All others terms and conditions of the MOU dated 26.05.2023 remains the same.

The Board Meeting was commenced at 2:00 P.M. and concluded at 2.30 P.M.
